1. Project Initiation & Timelines

  • Advance Payment: A 25% advance payment is required to finalize your project and assign a developer.

  • Timeline Start Date: The project timeline officially starts only after the 25% advance payment is successfully received and a developer is assigned to your project (not from the date of initial discussion).

2. Scope of Work & Written Requirements

  • Written Instructions Only: As a team of core developers and programmers, we strictly require all project requirements, instructions, and feedback in a written format (email to info@associative.in or via document). We cannot accept or process verbal/oral requirements as they cannot be tracked properly during development.

  • Client Responsibility: Please conduct proper market research before finalizing us. We develop exactly as per your written requirements. We cannot be blamed during or after the project if the requested software does not meet your unstated business expectations.

  • Service Exclusions: We only provide development services. We do not provide IT consulting services, nor do we offer “developers on rent” (staff augmentation). Our developers are also not available for client interviews, as we are an independent service provider.

3. Communication Policy (No Meetings)

  • Strictly No Meetings: We do not have a dedicated sales team. To ensure our developers remain focused on coding without distractions, we strictly avoid all unnecessary online meetings, video calls, or physical meetings with clients.

  • Phone Call Policy: Unnecessary phone calls are not entertained. Our developers will only initiate a phone call when it is absolutely necessary for project clarification during ongoing work.

4. Client Responsibilities & Third-Party Costs

To guarantee you have full legal ownership of your digital assets, you must directly purchase all necessary third-party accounts and licenses. These costs are completely separate from our development fees and may include:

  • Domain Registration (e.g., .com, .in).

  • Server Infrastructure (e.g., AWS, Google Cloud, Azure, Hostinger, GoDaddy).

  • Software Licensing (Premium templates, themes, plugins, or proprietary software).

  • Third-Party APIs (Subscription costs for external integrations).

5. Service Specifications Details

  • Mobile & Web Development: Our service package covers the insertion of a preliminary set of products/pages essential for demonstrating the application’s functions. Comprehensive guides will be provided for broader content integrations.

  • Hosting Setup Assistance: While clients must provide domain and hosting credentials, we offer procurement support. For clients requiring Cloud Hosting via Amazon Web Services (AWS) or Google Cloud Platform (GCP), we facilitate account creation and hosting setup for a one-time fee of Rs. 7,000. All subsequent hosting charges are directly billed by AWS or GCP.

  • App Store Accounts: For mobile apps, clients should set up their respective Google Play Store and Apple App Store accounts for submission. We can assist in this process upon request.

  • Extended Support & Enhancements: Additional support or customizations outside the project’s initial parameters are billed at Rs. 1500 per developer per hour.

  • Digital Marketing Advisory: While we strive to provide optimal results in Digital Marketing, SEO, and optimization, it’s essential to recognize that outcomes related to website rankings, social media metrics, or brand enhancement cannot be guaranteed.

Part 4: Financial & Refund Policy

1. Payments & Invoicing

  • Payments for our services are to be made as per the mutually agreed terms in the project contract.

  • We work strictly on a Time-and-Materials (T&M) basis, and invoices are transparently compiled and submitted.

  • We accept safe, transparent electronic bank payments inside India via RTGS, NEFT, IMPS, PayPal, Bank Transfer and UPI.

  • All prices are exclusive of GST (Goods and Services Tax) or other applicable taxes in India.

2. Refund & Cancellation Policy

  • Due to the inherent nature of our customized software development services, once an order is initiated, cancellations or refunds are not entertained.

  • We strongly urge clients to conduct thorough market research and engage in discussions with multiple providers before finalizing their decision to collaborate with us.

3. Post-Launch Support & Maintenance

  • Every software deployment comes standard with a 7-day complimentary post-launch support period to fix any deployment bugs or minor alignment issues.

  • Upon successful project handover, any further requirements for support, maintenance, or system upgrades will be subject to a monthly retainer fee calculated at 5% of the base project cost.

Part 5: Legal Terms & IP Security

1. Confidentiality & Intellectual Property (IP)

  • Strict Corporate NDAs: Before any project discussion begins or a single line of data is shared, we sign a legally binding Non-Disclosure Agreement (NDA). We deeply respect client privacy and will never share your direct contact information or live application links.

  • 100% IP Ownership: Upon successful project wrap-up and clearance of the 100% final milestone payment, the client receives complete ownership of the entire source code, databases, and IP rights. Until full payment is cleared, Associative retains full ownership of the code. All third-party licenses acquired are strictly for client-specific applications and not for resale or redistribution.

2. Data Protection (DPDP Act 2026 Compliance)

Both parties agree to strictly adhere to the Digital Personal Data Protection (DPDP) Act. We process your business data solely to complete your project and maintain absolute confidentiality.

3. Zero Tolerance Policy

We work strictly within these rules. Any misbehavior, unnecessary frustration, threatening, or abusive language toward our team is strictly not tolerated. We reserve the right to instantly terminate the project without notice and take strict legal action for mental harassment, business loss, and reputation loss.

4. Termination of Services

Either party can terminate the contract with a written notice if there are any breaches in the terms agreed upon. Any due payments until the termination notice must be cleared immediately.

5. Limitation of Liability

We shall not be liable for any indirect, special, or consequential damages, or any loss of revenue or profits, arising in connection with the services we offer. Our maximum legal liability under any circumstance is strictly capped at the total amount paid by the client for that specific project quotation.

6. Amendments

We reserve the right to change these terms and conditions at any time. The revised terms will be posted on this website and will be effective immediately upon posting.

7. Governing Law & Jurisdiction These terms and conditions are governed by and constructed in accordance with the laws of India (including the Indian Contract Act, 1872, and Information Technology Act, 2026). Any disputes will be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.
